Refund Policy

Effective Date: June 18th, 2026

1. Overview

Maxwell Definitive Technologies is committed to delivering high-quality software engineering and digital solutions. Due to the nature of custom development services, refunds are subject to the terms outlined below.

2. Deposits and Initial Payments

All deposits, setup fees, consultation fees, discovery fees, and initial milestone payments are non-refundable once work has commenced. These payments compensate for project planning, requirement analysis, research, consultation, design and development preparation, and resource allocation.

3. Milestone Payments

Payments made for completed milestones are non-refundable. Upon receipt of payment, the Client receives ownership rights to completed deliverables in accordance with the applicable Service Agreement.

4. Cancellation by Client

If the Client cancels a project after work has begun, payments already made shall not be refunded, the Client remains responsible for completed work up to the date of cancellation, and outstanding invoices become immediately due.

5. Cancellation by MaxDef Tech

MaxDef Tech reserves the right to terminate a project due to non-payment, breach of contract, illegal or unethical use of services, or failure to provide required information or approvals. In such cases, refunds shall be issued only for work not yet performed.

6. Website Hosting and Subscription Services

Monthly maintenance plans, hosting fees, software subscriptions, and recurring services are generally non-refundable after the service period has commenced.

7. Exceptions

Refund requests may be considered where services have not commenced, duplicate payments were made, or billing errors occurred. Approval of refunds shall be at the sole discretion of MaxDef Tech.

8. Chargebacks

Clients agree to contact MaxDef Tech to resolve disputes before initiating chargebacks or payment disputes with financial institutions.

Payment Policy

Effective Date: June 18th, 2026

1. Payment Terms

Payments shall be governed by the applicable Service Agreement or Statement of Work. Projects may be billed through fixed-price agreements, milestone payments, monthly retainers, subscription plans, or hourly billing arrangements.

2. Deposits

Projects typically require an upfront deposit before work commences. The amount and payment schedule shall be specified in the applicable agreement. No work shall begin until the required deposit has been received.

3. Milestone Payments

Where milestone billing applies, payments become due upon completion of the agreed milestone. Failure to make payment may result in suspension of work.

4. Accepted Payment Methods

MaxDef Tech may accept bank transfers, credit and debit cards, PayPal, online payment gateways, and other approved payment methods.

5. Late Payments

Invoices are payable within fourteen (14) or thirty (30) days unless otherwise stated. Late payments may result in project delays, suspension of services, additional fees permitted under applicable law, or temporary removal of hosted services.

6. Taxes

Clients are responsible for any taxes, duties, or governmental charges applicable to their transactions.

7. Suspension of Services

MaxDef Tech reserves the right to suspend website hosting, maintenance services, technical support, or access to completed deliverables until overdue balances are paid in full.

8. Ownership

Ownership of deliverables transfers to the Client only after full payment has been received. MaxDef Tech retains ownership of all work products, source code, designs, and materials until payment obligations are satisfied.

9. Collections

The Client shall be responsible for reasonable costs associated with collection efforts arising from unpaid balances.

Project Policy

Effective Date: June 18th, 2026

1. Project Initiation

Projects commence only after acceptance of a proposal or quotation, execution of the applicable agreement, receipt of the required deposit, and provision of necessary information by the Client.

2. Client Responsibilities

The Client agrees to provide content, logos, images, branding materials, access credentials and technical information where necessary, timely approvals and feedback, and accurate project requirements. Delays caused by the Client may affect project timelines.

3. Project Timelines

Estimated timelines are based on information available at project commencement. Delays may result from scope changes, additional requirements, third-party dependencies, or delayed client responses. MaxDef Tech shall not be liable for delays beyond its reasonable control.

4. Revisions

Project quotations include a specified number of revisions. Additional revisions, redesigns, or substantial changes outside the original scope may incur additional fees.

5. Scope Changes

Changes to project requirements shall be documented through a Change Request Document or revised Statement of Work. Changes may affect costs, timelines, and deliverables. No changes shall be effective unless approved by both Parties.

6. Testing and Approval

Clients are responsible for reviewing deliverables and providing feedback. Deliverables shall be deemed accepted when written approval is provided or no objections are received within seven (7) business days following delivery.

7. Project Abandonment

A project shall be considered abandoned if the Client becomes unresponsive for sixty (60) consecutive days. Work may be suspended, deposits and payments already made remain non-refundable, and a restart fee may apply.

8. Third-Party Services

MaxDef Tech is not responsible for interruptions or failures caused by third-party services including hosting providers, domain registrars, payment processors, APIs and integrations, and cloud infrastructure providers.

9. Intellectual Property

Ownership of custom deliverables transfers to the Client upon full payment. MaxDef Tech retains ownership of frameworks, reusable code, templates, tools and methodologies, and proprietary systems.

10. Maintenance and Support

Unless otherwise specified, project completion does not include ongoing maintenance or support. Separate maintenance agreements may be entered into for continued services.

11. Warranty Period

MaxDef Tech shall provide a thirty (30) day warranty period following project delivery for defects directly related to the original scope of work. This warranty does not cover new feature requests, third-party software updates, unauthorized modifications, hosting issues, or server issues outside our control.

12. Communication

Official communications regarding projects shall occur through approved channels including email, video conferencing, agreed messaging platforms, and project management systems.
